GENERAL TERMS & CONDITIONS

Orders: All orders will be acknowledged via email or fax and must be confirmed in writing, with complete order information, and product price. Production and ship date will not be assigned until all order information has been provided, clarified and confirmed. All orders are subject to approval of Bagsdepot and are not binding until accepted by Bagsdepot. Bagsdepot reserves the right to refuse any order at any time. For orders shipping internationally, duties and fees must be prepaid before shipping the order. If duties and fees are greater than the prepaid amount, the customer will be contacted for the additional amount.

 

Orders Revision: All revisions to orders mush be confirmed in writing. Increases in quantities will be treated as a separate order unless notification is received prior to manufacturing of original order.

 

Rush Orders: Every effort will be made to accept rush orders without additional charges. Please call for production schedule available. Deadline shipments require air freight authorization.

 

Standard Lead Time: 3-5 working days for imprinted, embroidered or debossed items after proof approval.

 

Blank Goods: No minimum. Non-decorated item deduct $0.31 (v) and are shipped within 24 hours of order placement.

 

Pricing: Catalog pricing includes a 1-color, 1 location imprint logo. Screen set-up charges are not included. Valid from January 1st. 2015 to December 31, 2015. Prices, items and colors are subject to change without notice. For quatities above EQP, please call for a quote. BagsDepot reserves the right to revise catalog pricing without notice due to the fluctuation in currency exchange rates that occur or the volatility of crude oil associates impact on raw material costs increases. Artwork Submission: Vector artwork is required. Vector files can be E-mailed to: art@bagsdepot.com. They must include the following information in the “subject” field: company name, P.O. number, and contact name. Please include a color print of all artwork.

 

Customer Approval: BagsDepot must receive your proof approval and all the shipping information before production commences. Once approval is received, any changes to an order may incur additional costs and lead time. The following proofs are available:

 

Virtual Proof.- Upon request, BagsDepot will send you a product proof via e-mail with your artwork in the location requested on the bag. The product proof can be converted into a PDF suitable for forwarding to clients. This is a fast and efficient method to verify accuracy and is free of charge.

 

Paper Proof.- Paper proof is free of charge, black and white only. Paper proofs can be emailed in PDF format. A paper proof must be signed and faxed or emailed back to factory prior of actual production.

 

Product Proof (Pre-Production).- All orders over $800 (R) require a product proof. Production lead time does not start until Product approval. A product proof can be shipped using our standard UPS Ground ship, pending proof approval. Upon receipt, it must be confirmed and approved as soon as possible to avoid production delays. The order can be shipped and billed for next day air service, if requested. Changes to the production proof are subject to additional cost and new lead times.

 

Custom/Import Products: Custom import products require 45-90 days for production.

 

PMS Color Matches: Colors are matched as close as possible based on Pantone colors, Exact color matching is not guaranteed.

 

Acceptance: The customer shall inspect the goods immediately, upon their arrival and shall within 15 days of their arrival, give written notice to Bagsdepot of any claim that the goods do not conform with the terms of the contract. If customer shall fail to give such notice, the goods shall be deemed to conform to terms of the contract and customer shall be deemed to accept and bound to pay for the goods in accordance with terms in the contract. The customer expressly waives any rights the customer may have to revoke acceptance after such 15 days period. Bagsdepot will accept return of blank or undecorated merchandise only with obtained a RMA (Return Merchandise Authorization) number prior to return. No returns will be accepted without a RMA (Return Merchandise Authorization) number. No discount may be taken from Bagsdepot invoices.

 

Cancellation: All orders are considered firm. Cancellations will be accepted only if merchandise has not been decorated. All cancellations must be in writing & received; verbal cancellations will not be accepted. Blank or decorated orders cancelled during production will be charged at the cost of material and labor extended to date including shipping costs. A 15% restocking fee may be applied.

 

Disclaimer: Bagsdepot acceptance of your order constitutes an agreement based solely on our terms and conditions regardless of those terms and conditions on customer’s purchase order. Due to manufacturing tolerance, all dimensions have acceptable variation of ½”. Due to variances of materials and other circumstances beyond our control, we can not guarantee continuity of exact color, shade, size, weight, texture, or construction of finished goods. Bagsdepot will make every effort to meet your requested delivery date. Bagsdepot will not be liable for the inability to ship an order(s) on time or product availability due to customs, shipping or natural disasters. We will make every effort to substitute a similar item if extensive delays occur. Bagsdepot is not responsible for typesetting errors in this catalog.

By submitting order and artwork to BagsDepot, the customer hereby agrees to hold BagsDepot harmless from any liability which may result from the usage of art submitted by the customer.

 

Repeat Orders: Reference the previous purchase order and date of last order. If it is within 6 months of the previous PO, a screen re-setup charge of 18.75(v) will apply.

 

Custom Spec. Samples: Custom spec sample charges are based on the bag’s size: small $100.00(v), medium $200.00(v), or large $300.00(v). All charges will be fully credited to an order if received within 60 days after receipt of spec. samples.

 

Packing/Re-Packing: Items are bulk packed unless otherwise specified by customer. Individually poly-bagged will add $0.31(v) per piece.

 

Insertions: Upon request BagsDepot will insert your items (cards, pens or pads) at a charge of $0.50(v). Contact BagsDepot for quotation of insertion of unusual items.

 

Inventory/Availability: In the event that we do not have enough inventory available to complete your order, contact us so that we can work with you.

 

Over/Under Runs: We reserve the right to ship 5% over or under and bill accordingly. In the case of under-runs of 5% or less, the factory reserve the right not to decorate the balance.

 

Shipping Method: F.O.B. Ontario, CA 91761. BagsDepot reserves the right to determine the best shipping method available unless specifically pre-routed by the customer. All costs of transportation shall be borne by the customer and all risk of loss shall pass to the customer when goods are delivered to the carrier, whether the carrier is selected by the customer or not. An additional handling charge of $1.39 (x) per carton is added.

 

Drop Shipments: Dropship’s request must be received prior to production or delays may occur. A charge of $7.50(v) per location plus freight cost and insurance. If drop shipments are received after boxes are packed, a charge may be incurred.

 

International Shipments: Catalog prices do not include duties, taxes, or customs fees. If assessed, these charges are the responsibility of the distributor or recipient who will be billed for them in addition to any shipping costs. These fees can be delayed in billing up to 90 days. BagsDepot cannot guarantee in hand dates for international shipments (excluding Custom Import Orders) due to potential customs and shipping delays. Export documents will reflect customer purchase prices or declared value and will be provided at no additional cost.

 

Applicable Laws: The validity, interpretation and performance of these terms and conditions, shall be governed by the law of state of California.

 

Payment Term: Net-30 days with credit approval. We accept Visa & Master cards. First order and custom orders are require a deposit or prepayment. Payments not received by the due date are subject to a late fee of 1.5% per month.
